OF USE

By accessing or using the French Village Karting investor platform (the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you and French Village Karting, located in Fredericton, New Brunswick, Canada. They govern your access to and use of the Platform, including all content, functionality, and services offered through it.

The Platform is a private, invitation-only digital environment designed to facilitate confidential communications between French Village Karting and prospective investors who have been specifically invited to learn about a private investment opportunity.

To use the investor portal features of the Platform, you must:

Credentials are personal and non-transferable. You must not share your username, password, or session token with any third party. You are solely responsible for all activities that occur under your account. If you suspect unauthorized access, notify us immediately at [email protected].

Access to financial projections, investment tiers, and other proprietary information on the Platform requires acceptance of our Non-Disclosure Agreement (NDA). By accepting the NDA through the Platform:

The NDA acceptance record constitutes a legally binding electronic agreement under the Electronic Commerce Act (New Brunswick) and applicable federal legislation.

You may use the Platform solely for the purpose of evaluating the private investment opportunity presented by French Village Karting. You agree not to:

This Platform operates in compliance with applicable Canadian securities law, including the requirements of the Financial and Consumer Services Commission of New Brunswick (FCNB) and National Instrument 45-106 (Prospectus Exemptions).

All content on the Platform, including but not limited to text, graphics, logos, images, financial projections, business plans, and software, is the exclusive property of French Village Karting or its licensors and is protected by Canadian copyright law and applicable international treaties.

You are granted a limited, non-exclusive, non-transferable license to access and view the Platform content solely for the purpose of evaluating the investment opportunity. This license does not permit you to reproduce, distribute, modify, or create derivative works from any Platform content.

To the maximum extent permitted by applicable law, French Village Karting and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or business opportunities.

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Your use of the Platform is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your personal information as described in those policies.

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms, applicable law, or if the investment opportunity is no longer available.

You may request deletion of your account at any time by contacting our Data Protection Officer. Termination of your account does not affect any obligations you have under the NDA, which survive termination indefinitely.

These Terms are governed by and construed in accordance with the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of New Brunswick, Canada. You irrevocably submit to the personal jurisdiction of such courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

We may modify these Terms at any time. Material changes will be communicated to registered investors by email at least 30 days before taking effect. Continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms. The "Last updated" date at the top of this page reflects the most recent revision.
